  1. Name
  2. The name of this organization shall be I. H. Road Dawgs.

  3. Purposes
  4. In support of the Industry Hills Men's Club, to maximum team play potential and develop team play expertise by emphasizing the match play format in team and tournament competitions especially at away courses. To promote team unity and camaraderie through competition, socializing, networking and above all having fun.

  5. Membership
    1. Memberships shall be available to all current members in good standing of the Industry Hills Men's Club having a current Low Index that does not exceed the SCGA Team Play maximum Low Index plus four strokes.
    2. Memberships in the Club are for a calendar year only, with all memberships expiring on December 31st.
    3. The Board of Directors may confer honorary memberships upon those whom they feel have contributed to the advancement of the game of golf and the advancement of the Club's mission. The unanimous affirmative vote of the Board shall be required to approve such action.
    4. In the event any member of this Club commits any act which reflects discredit or disrepute thereon or shall refuse or neglect to comply with the rules and regulations adopted by the Board of Directors or the duly appointed officers, such member shall be subject to suspension or expulsion after ten (10) days written notice and the right to be heard, by a vote of two-thirds of the Board of Directors at any regular meeting or special meeting called for such purpose.
    5. The annual meeting of the I. H. Road Dawgs shall be held on the first Saturday in the month of November unless rescheduled by providing all Club members a minimum of ten (10) days written notice. The Board of Directors shall provide for the holding of such other meetings as may be deemed necessary or desirable, and they shall call special meetings upon written petition signed by not less than twenty (20) percent of the membership.
    6. A quorum at any meeting shall be a simple majority of the current Club members present in person or by proxy. Each active member in good standing shall be entitled to one (1) vote.
    7. The Board of Directors shall establish all membership fees and dues from time to time in such amounts as they deem adequate to operate and maintain the Club. Members shall be liable for dues until their written resignation has been received and accepted by the Board of Directors.

  6. Board of Directors
    1. The Board of Directors shall consist of five (5) members in good standing of the I. H. Road Dawgs and they shall exercise all powers of the management of the Club not specifically excepted by these Bylaws.
    2. At least five weeks prior to the Annual Meeting, the Board of Directors shall appoint a nominating committee consisting of five members of the Club. At least four weeks prior to the Annual Meeting, this committee shall submit to the Board and shall post on the Club's bulletin board a list of nominees to fill any vacancies for the term of office beginning on the day of the meeting. Names of other members in good standing may be nominated by petition signed by at least five members and submitted to the Board at least two weeks prior to the Annual Meeting. At least one week prior to the Annual Meeting, a list of all candidates nominated shall be mailed to each member at the last know address and a copy of such list shall be posted on the Club bulletin board.
    3. Voting shall be by written ballot and those names receiving the greatest number of votes cast by those present at the meeting shall be declared to be elected. The Board shall appoint a minimum of two judges who are not members of the Board or candidates for election to supervise the election.
    4. The Board of Directors shall meet at such times and places as they may select and a majority of the Board shall constitute a quorum at any meeting.
    5. In the case of any vacancy through death, resignation, disqualification, or other cause, the remaining directors, even though less than a quorum, may elect a successor by majority vote to hold office for the unexpired term of the director whose place shall be vacant, and until the election of his successor.

  7. Officers and Committees
    1. Within ten (10) days after the Annual Meeting and election, the Board of Directors shall meet and elect the officers.
    2. The officers shall consist of President, Vice President, Secretary, Treasurer, and Tournament Chair and their duties shall be such as their title would indicate or such as may be assigned to them by the Board of Directors from time to time. The Club officers will be responsible for maintaining a Club Policy Document that contains rules and procedures that support the purpose and operations of the Club.
    3. The Board of Directors shall authorize and define the powers and duties of all committees. The President shall appoint chairmen and members of all committees and shall be an ex-officio member of all committees except the nominating committee.

  8. Ammendment to Bylaws
  9. The Board of Directors shall have the power to repeal or amend any of these Bylaws provided that such action shall not be effective until approved by a two-thirds majority vote of the members of the I.H. Road Dawgs at a meeting held in accordance with the provisions contained herein.
